Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and MIXNEXTEND INC. By using Chamber.fm, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Agreement to Terms

By accessing or using Chamber.fm (the "Service", "Platform", or "Website") operated by MIXNEXTEND INC., a Delaware corporation ("Chamber.fm", "we", "us", or "our"), you agree to be bound by these Terms of Service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. These Terms apply to all visitors, users, and others who access or use the Service.

2. Definitions

For the purposes of these Terms:

  • Account – A unique account created for you to access our Service
  • Content – Any text, images, video, audio, or other materials uploaded, downloaded, or appearing on the Service
  • User – Any individual who accesses or uses the Service
  • Recipient – Any User who creates a profile to receive Paid Messages
  • Sender – Any User who sends Paid Messages to Recipients
  • Paid Message – A message sent by a Sender to a Recipient that requires payment
  • Service Fee – The 25% commission charged by Chamber.fm on all transactions
  • Payment Processing Fee – The fee charged by our payment processor (currently 2.9% + $0.30 per transaction)
  • Payout – The transfer of funds from Chamber.fm to a Recipient

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 18 years old and have the legal capacity to enter into contracts to use this Service. By using the Service, you represent and warrant that you meet these eligibility requirements. We do not knowingly collect or solicit any information from anyone under the age of 18.

3.2 Account Registration and Security

To access certain features of the Service, you must register for an account. When creating an account, you agree to:

  • • Provide accurate, current, and complete information during registration
  • • Maintain and promptly update your account information to keep it accurate and current
  • • Maintain the security and confidentiality of your account credentials
  • • Accept all responsibility for any activity that occurs under your account
  • • Immediately notify us at contact@chamber.fm of any unauthorized use

You may not use another User's account without permission. You are responsible for all activities that occur under your account, and you agree to notify us immediately of any unauthorized access or use.

3.3 Identity Verification

We may require you to provide additional information and documents for identity verification, anti-fraud, and legal compliance purposes. This may include government-issued identification, proof of address, or other documentation. Failure to provide requested information may result in suspension or termination of your account.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only to send and receive messages and payments in a manner consistent with these Terms and any applicable laws.

4.2 Prohibited Uses

You agree not to use the Service to:

  • • Violate any applicable federal, state, local, or international law or regulation
  • • Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • • Infringe upon or violate the intellectual property rights or privacy rights of others
  • • Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
  • • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
  • • Use the Service for any illegal or unauthorized purpose
  • • Introduce any viruses, trojan horses, worms, logic bombs, or other malicious material
  • • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service
  • • Use any robot, spider, or other automatic device to access the Service for any purpose
  • • Engage in money laundering, fraud, or any financial crimes
  • • Create multiple accounts for fraudulent purposes
  • • Manipulate or artificially inflate metrics or engagement
  • • Sell, resell, or commercially exploit any portion of the Service

4.3 Monitoring and Enforcement

We reserve the right, but have no obligation, to monitor the Service for violations of these Terms. We may, in our sole discretion:

  • • Remove or refuse to post any Content that violates these Terms or applicable laws
  • • Take any action with respect to any Content or User that we deem necessary or appropriate
  • • Report any activity to law enforcement authorities as required by applicable laws
  • • Suspend or terminate your access to all or part of the Service

5. Payments, Fees, and Taxes

5.1 Payment Processing

All payments are processed through our third-party payment processor, Stripe, Inc. ("Stripe"). By using our payment features, you agree to be bound by Stripe's Services Agreement and Privacy Policy. We use Stripe Connect for Recipient payouts. You authorize us to collect, store, and process your payment information through Stripe.

5.2 Service Fees

Chamber.fm charges a Service Fee of 25% on all Paid Messages. This fee is automatically deducted from the gross payment amount. Payment processing fees charged by our payment processor (currently 2.9% + $0.30 per transaction) are deducted separately and are not included in the Service Fee. Recipients receive the gross payment amount minus both the Service Fee (25%) and payment processing fees. All fees are non-refundable except as required by law.

5.3 Pricing and Currency

All prices are displayed and charged in United States Dollars (USD) unless otherwise specified. Recipients set their own message prices, subject to our minimum price requirements. We reserve the right to change our Service Fees upon 30 days' notice to you. Such notice may be provided via email or by posting the changes to our Website.

5.4 Refunds and Disputes

All payments for messages are final and non-refundable except as required by law or as determined by us in our sole discretion. Refund requests must be submitted within 7 days of the transaction. In case of disputes, our decision shall be final and binding. Chargebacks initiated without first contacting us may result in immediate account termination.

5.5 Payouts to Recipients

Recipients can request payouts of their available balance subject to our minimum payout thresholds. Payouts are processed through Stripe Connect for supported countries or Wise for international transfers. Processing times vary by location and payment method (typically 2-7 business days). We reserve the right to delay payouts for security reviews or suspected fraudulent activity.

5.6 Taxes

You are responsible for determining and paying any applicable taxes resulting from your use of the Service. This includes, without limitation, sales tax, income tax, and any other governmental fees or taxes. Chamber.fm does not provide tax advice. We recommend consulting with a tax professional regarding your tax obligations. We may be required to collect tax identification information and report earnings to tax authorities as required by law.

6. Content Policy and Intellectual Property

6.1 Your Content Rights

You retain all ownership rights to the Content you submit to the Service. By submitting Content, you grant Chamber.fm a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Service and Chamber.fm's business operations.

6.2 Content Representations

By submitting Content to the Service, you represent and warrant that:

  • • You own the Content or have the necessary rights and permissions to use it
  • • Your use of the Content does not infringe any third party's rights
  • • The Content complies with these Terms and all applicable laws
  • • The Content does not contain any viruses or malicious code

6.3 Prohibited Content

You may not upload, transmit, or distribute Content that:

  • • Is illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory
  • • Contains nudity, sexually explicit material, or graphic violence
  • • Infringes on any patent, trademark, copyright, or other proprietary rights
  • • Contains false, misleading, or deceptive information
  • • Violates the privacy or publicity rights of any third party
  • • Promotes illegal activities or substances
  • • Contains malware, viruses, or any harmful code
  • • Violates any applicable laws or regulations

6.4 DMCA Policy

We respect the intellectual property rights of others and expect our users to do the same. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA). If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:

  • • Identification of the copyrighted work claimed to have been infringed
  • • Identification of the infringing material and information to locate it
  • • Your contact information (address, telephone number, and email)
  • • A statement that you have a good faith belief that the use is not authorized
  • • A statement that the information in the notification is accurate
  • • Your physical or electronic signature

7. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy. By using the Service, you consent to the collection, use, and sharing of your information as described in our Privacy Policy. We implement appropriate technical and organizational measures to protect your personal data against unauthorized or unlawful processing, accidental loss, destruction, or damage.

8. Third-Party Services and Links

The Service may contain links to third-party websites or services that are not owned or controlled by Chamber.fm. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Chamber.fm shall not be responsible or liable for any damage or loss caused by your use of any such third-party services.

9. API Terms

If we provide API access, your use is subject to additional API Terms of Use. API access may be rate-limited and is provided on an as-is basis. We reserve the right to modify, suspend, or discontinue API access at any time without notice. You may not use our APIs to compete with Chamber.fm or for any unlawful purposes.

10. Termination and Suspension

10.1 Termination by You

You may terminate your account at any time by contacting us at contact@chamber.fm. Upon termination, you will no longer have access to your account and any associated data. Any outstanding balance below our minimum payout threshold will be forfeited.

10.2 Termination by Chamber.fm

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately. Reasons for termination may include, but are not limited to:

  • • Violation of these Terms or applicable laws
  • • Fraudulent, abusive, or illegal activity
  • • Providing false or misleading information
  • • Creating multiple accounts
  • • Extended periods of inactivity

10.3 Effects of Termination

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. We may, but are not obligated to, retain your Content after termination. You remain liable for all payments and obligations incurred before termination.

11. Disclaimers and Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER MIXNEXTEND INC. NOR ANY PERSON ASSOCIATED WITH MIXNEXTEND INC. MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE.

Without limiting the foregoing, neither Chamber.fm nor anyone associated with Chamber.fm represents or warrants that:

  • • The Service will be uninterrupted, timely, secure, or error-free
  • • The results obtained from the Service will be accurate or reliable
  • • The quality of any products, services, or information obtained will meet your expectations
  • • Any errors in the Service will be corrected

12. Limitation of Liability

IN NO EVENT SHALL MIXNEXTEND INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

In no event shall Chamber.fm's total liability to you for all damages, losses, and causes of action exceed the amount you have paid to Chamber.fm in the past twelve (12) months, or one hundred dollars ($100), whichever is greater.

13. Indemnification

You agree to defend, indemnify, and hold harmless MIXNEXTEND INC., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • • Your violation of these Terms
  • • Your use of the Service
  • • Your Content
  • • Your violation of any third-party rights
  • • Any misrepresentation made by you

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Most disputes can be resolved informally. Before filing a claim against Chamber.fm, you agree to try to resolve the dispute by contacting us at contact@chamber.fm. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 60 days of submission, you or Chamber.fm may bring a formal proceeding.

14.2 Binding Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs and attorneys' fees.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to personal jurisdiction and venue therein.

16. International Use

The Service is controlled and operated from the United States. We make no representation that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own risk and are responsible for compliance with local law. You may not use or export any Content in violation of U.S. export laws and regulations.

17. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.

18. General Provisions

18.1 Entire Agreement

These Terms constitute the entire agreement between you and Chamber.fm regarding the use of the Service and supersede any prior agreements between you and Chamber.fm relating to the Service.

18.2 Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

18.3 Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. We may assign our rights under these Terms to any party without your consent.

18.4 Force Majeure

Chamber.fm shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, pandemic, governmental action, war, terrorism, or other unforeseeable cause that is beyond our reasonable control.
